公司高管，主要是指登记在工商局的公司管理人员。一般建议由核心创始人或大股东任职，为的是加强对公司的管理控制。

1、董事/董事长/执行董事

由董事、董事长组成的董事会，负责公司或企业和业务经营活动的指挥与管理，对公司股东会或企业股东大会负责并报告工作。董事长是公司董事会的领导，公司的最高领导者。他的职责具有组织、协调、代表的性质。董事长的权力在董事会职责范围之内，不管理公司的具体业务，一般也不进行个人决策，只是在董事会开会或董事会专门委员会开会的时候才享有投票权。公司在前期比较简单时，可不设立董事会，只设立一名执行董事即可。执行董事代行董事会职责。

2、法定代表人

在法律层面上，法定代表人行为等同于公司行为，是公司意志的具体体现人，由董事长/执行董事或经理担任，在法律层面对公司的所有行为、结果负责。自然人可以担任多家公司的法定代表人。

3、监事

由于公司股东分散，专业知识和能力差别很大，为了防止董事会、经理滥用职权，损害公司和股东利益，就需要在股东大会上选出监事，代表股东大会行使监督职能。监事必须是单独的人选，不能由董事、经理来兼任。
