独立董事关于聘任财务报告审计及内部控制审计机构的独立意见根据中国证监会《关于在上市公司建立独立董事制度的指导意见》、《上市公司治理准则》及《股票上市规则》等有关规定，我们作为独立董事现发表独立意见如下： 1、本次通过的议案符合相关法律法规及有关规定； 2、董事会在发出《关于续聘信永中和会计师事务所为公司 2017 年度财务报告审计及内部控制审计机构的议案》前，已经取得了我们的认可。通过了解信永中和会计师事务所的基本情况，认为该事务所具备从事财务报告审计及内部控制审计的资质和能力； 3、公司续聘会计师事务所的决策程序合法有效。同意聘任信永中和会计师事务所为公司 2017 年度财务报告审计及内部控制审计机构。林海股份有限公司独立董事：荣幸华、陈立虎、俞国胜 2017 年 6 月 2 日
