一般公司注销流程是工商局先备案-国税局申请注销-填写表格-上交发票注销，注销发票等等。

2注销时间长

很多注册公司时我们大概需要一到两个星期就能做好，但是注销公司要花费的时间却很长，快则三个月，慢的话所需要的时间就不能预估了。

3注销公司时要清算税款、账务

相比较于注册公司而言，注销公司时需要将以往所没有缴清的税务全部都清算缴清，并且由于税务注销时，需要提供公司近三年的账本、会计凭证、税务报表。
